Terms of Service

These Terms of Service ("Terms") govern your access to and use of farn-tech.com and any subdomains, applications, APIs, portals, beta/pre-release offerings, and related services operated by Farnaus Technologies LLC ("Farnaus," "we," "us," or "our") (collectively, the "Services").

By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1) Relationship to Business/MSP Agreements

If you are a business client receiving Professional Services (including MSP work) under a signed Master Services Agreement, Statement of Work, Service Order, or similar written agreement (a "Business Agreement"), the Business Agreement controls for that relationship. These Terms apply only to the extent they do not conflict with the Business Agreement.

2) Eligibility and Authority

• You must be at least 18 years old (or the age of majority where you live) to use the Services.
• If you use the Services on behalf of an organization, you represent you have authority to bind that organization.

3) Privacy

Our Privacy Policy describes how we collect, use, and share information. By using the Services, you consent to our data practices as described in the Privacy Policy.

4) Accounts, Access, and Security

• You are responsible for safeguarding credentials and for all activity under your account.
• You must provide accurate information and keep it current.
• You must promptly notify us of suspected unauthorized access or security incidents affecting your account.
• We may implement security controls (rate limits, MFA prompts, session restrictions) to protect the Services.

5) License Grant and Restrictions

Subject to these Terms, Farnaus Technologies grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal or personal use (as applicable) and only as intended by the Services.

You will not (and will not allow others to):

• Copy, modify, or create derivative works of the Services except where permitted by law
• Reverse engineer, decompile, or attempt to extract source code except where prohibited by law
• Resell, rent, lease, sublicense, or make the Services available to third parties (except as expressly allowed in a Business Agreement)
• Bypass or defeat security, access controls, or usage limits

6) Acceptable Use and Security Rules

You agree you will not:

• Use the Services for unlawful, harmful, fraudulent, or abusive purposes
• Upload malware, exploit code, or attempt unauthorized access to systems or data
• Probe, scan, or test vulnerabilities without our prior written authorization
• Interfere with or disrupt the Services or other users (including denial-of-service or automation abuse)
• Use the Services to process data you do not have the right to process

7) Private, Account-Scoped Interaction (No Public Posting)

The Services are designed for private, account-scoped interaction. You are responsible for maintaining the confidentiality of any information you store within your account. You agree not to upload content that violates law or third-party rights.

8) API Use (If Applicable)

If we provide APIs, your use is subject to technical documentation and usage limits. We may enforce rate limits, require API keys, rotate credentials, or suspend access to protect the Services.

9) Beta / Preview Features

Some Services may be labeled alpha, beta, preview, or early access ("Beta Services"). Beta Services are experimental, may be unstable, may change without notice, and may be discontinued at any time. You should not rely on Beta Services for critical use cases. Beta Services are provided "AS IS" and "AS AVAILABLE."

10) Professional Services / MSP Access Authorization

When you request or authorize Professional Services (including MSP work), you grant Farnaus Technologies permission to access and interact with your systems (endpoints, servers, cloud consoles, network equipment, identity systems, and email/admin platforms) as reasonably necessary to perform the requested scope.

• Authority: You represent you have the legal right to grant such access for all affected systems, accounts, and data.
• Tools/agents: You may need to authorize or install tooling (e.g., remote support/RMM agents, scripts, configuration profiles). You authorize such tools to perform the functions within your scope.
• Incidental exposure: Troubleshooting may incidentally reveal sensitive content (e.g., emails on-screen, log entries). We will use such information only as reasonably necessary to provide the services or as required by law.

11) Third-Party Services and Dependencies

The Services may rely on third-party providers (hosting, email delivery, analytics, identity providers, security tooling). Third-party services are outside our control. We are not responsible for third-party outages, changes, or failures. Third-party terms may apply to your use of those services.

12) Fees and Payments (Present or Future)

Some Services may be free today and paid later. If we introduce paid plans, we will disclose pricing and billing terms before you are charged. Unless otherwise stated in writing, fees are non-refundable and exclusive of taxes.

13) Intellectual Property

Farnaus Technologies and its licensors own all right, title, and interest in and to the Services, including all software, designs, and documentation, excluding User Content. No rights are granted except as expressly stated in these Terms.

14) User Content

You retain ownership of content you submit to the Services ("User Content"). You grant Farnaus Technologies a worldwide, non-exclusive, royalty-free license to host, process, transmit, and display User Content only as necessary to provide, secure, maintain, and improve the Services and provide support.

You represent that you have all rights necessary to submit User Content and that it does not violate law or third-party rights.

15) Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." FARNAUS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. FARNAUS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

16) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• FARNAUS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS INTERRUPTION, LOSS OF GOODWILL, COST OF SUBSTITUTE SERVICES, SECURITY INCIDENT COSTS, OR RANSOMWARE PAYMENTS, ARISING OUT OF OR RELATED TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.
• FARNAUS'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED: (A) THE AMOUNT YOU PAID TO FARNAUS FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE SIX (6) MONTHS BEFORE THE EVENT, OR (B) IF NO FEES WERE PAID, US $250, WHICHEVER IS GREATER.

17) Indemnification

You agree to defend, indemnify, and hold harmless Farnaus Technologies and its owners, employees, contractors, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use or misuse of the Services; (b) your User Content; (c) your instructions (including in MSP contexts); (d) your violation of these Terms; or (e) your violation of any law or third-party rights.

18) Suspension and Termination

We may suspend or terminate access immediately if we reasonably believe you violated these Terms, pose a security risk, or if required by law. You may stop using the Services at any time. Sections that should survive will survive (including IP, disclaimers, limitation of liability, indemnity, and dispute terms).

19) Export Controls and Sanctions

You may not use the Services in violation of export control or sanctions laws. You represent that you are not prohibited from using the Services under applicable law.

20) Disputes, Governing Law, Venue, Jury Trial Waiver, Class Action Waiver

These Terms are governed by the laws of the State of Illinois, without regard to conflict of laws rules. You agree that any dispute arising out of or relating to the Services will be brought exclusively in state or federal courts located in Cook County, Illinois, and you consent to personal jurisdiction and venue in those courts.

JURY TRIAL WAIVER: YOU AND FARNAUS WAIVE ANY RIGHT TO A TRIAL BY JURY.

CLASS ACTION WAIVER: YOU AND FARNAUS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

21) Time Limit to Bring Claims

To the maximum extent permitted by law, any claim must be brought within one (1) year after the cause of action accrues, otherwise it is permanently barred.

22) Miscellaneous

• Entire agreement: These Terms and any posted policies are the entire agreement for public users of the Services.
• Severability: If a provision is unenforceable, the remainder remains in effect.
• No waiver: Failure to enforce a provision is not a waiver.
• Assignment: You may not assign these Terms without our consent; we may assign in connection with a business transfer.
• Force majeure: We are not liable for delays due to circumstances beyond our reasonable control (provider outages, cyberattacks, natural disasters, acts of government).
